Purchases

If you wish to purchase any products or services through our platform, you may be required to provide relevant information, including credit card details and billing information. You represent that you have the legal right to use any payment method connected to your purchase. We may employ third-party services to process payments.

We reserve the right to refuse or cancel orders for various reasons, including product availability or pricing errors.

Promotions and Contests

From time to time, we may offer promotions or contests with separate rules. Please review these rules, as they may differ from these Terms.

Subscriptions

Musely.AI offers subscription-based services that are billed on a recurring basis, either monthly or annually. Your subscription will automatically renew unless canceled before the end of the billing cycle. A valid payment method is required for billing. If automatic billing fails, we will issue an invoice for manual payment.

Fee Modifications

We reserve the right to change subscription fees at any time. Any changes will take effect at the end of the current billing cycle and will be communicated at least 15 days in advance. Continued use after a fee change constitutes acceptance of the new fees.

Refund Policy

Refunds for subscription services will be provided within three (3) days of the original purchase, subject to specific usage limits for each product. Refund requests must be made within the specified period and usage should remain within set limits.

Account Responsibilities

To use certain features of Musely.AI, you must create an account. You guarantee that you are over 18 and that all account information is accurate. You are responsible for maintaining the confidentiality of your account and password. Sharing your account with others is prohibited and may result in suspension or termination.

Permitted Use and Restrictions

By using Musely.AI, you agree to comply with all applicable laws and regulations. You are not allowed to engage in illegal activities, abuse the Service, or attempt to reverse-engineer Musely.AI's systems.

Prohibited activities include:

• Uploading content that infringes third-party intellectual property rights
• Generating illegal, harmful, abusive, or defamatory content
• Attempting to reverse-engineer, hack, or compromise our systems
• Using the service to develop competing products or services
• Training other AI models or technologies with our service
• Impersonating others or misrepresenting affiliations

Ownership and Commercial Rights for Generated Content

Free Plan

For users on our free plan:

• You receive a limited license for personal, non-commercial use only
• No attribution is required for personal use
• Commercial use, including monetization on any platform, is prohibited

Paid Plans (Pro, Premier, and Other Paid Tiers)

For content generated during an active paid subscription:

• Musely.AI assigns to you all rights, title, and interest in the generated content
• You receive perpetual commercial use rights, including:
  • Distribution on streaming platforms (Spotify, Apple Music, YouTube Music, etc.)
  • Video monetization (YouTube, TikTok, Instagram, etc.)
  • Direct sales and consumer downloads
  • Sync licensing for film, television, video games, and advertising
  • Live and public performances
  • Physical media distribution
  • Licensing and sublicensing to third parties
• These rights continue in perpetuity, even after subscription cancellation
• No ongoing royalties or payments are owed to Musely.AI

Important Limitation: No Retroactive Rights

Upgrading from a free plan to a paid plan does not grant commercial rights to content created during your free plan usage. Commercial rights apply only to content generated while subscribed to a paid plan.

Copyright and Legal Considerations

Copyright Disclaimer:

Musely.AI makes no representation or warranty that copyright protection will apply to AI-generated content. Current U.S. copyright law typically requires human authorship, and fully AI-generated works may not qualify for copyright protection.

• While you own your music (on paid plans), copyright registration may not be available
• Copyright laws vary by jurisdiction and continue to evolve
• We cannot guarantee copyright eligibility in any jurisdiction
• Consult legal counsel for specific advice regarding copyright protection

User-Created Elements: If you contribute original human-created elements such as lyrics, vocal performances, or instrumental recordings, those elements may have stronger copyright protection. Disclosure of AI use may be required when registering copyrights.

Your Submissions

By providing content to Musely.AI, you represent that you own all necessary rights or have obtained required permissions. You grant Musely.AI a worldwide, non-exclusive, royalty-free, perpetual license to use your submissions to:

• Operate and provide the service
• Improve and develop our AI models and technology
• Analyze usage patterns and service quality
• Market and promote our services

Non-Uniqueness of AI-Generated Content

Due to the nature of AI technology, generated content may not be unique. Similar inputs from different users may produce similar or identical outputs. Content generated for other users is not your property.

Commercial Use Defined

Commercial use includes any activity intended for commercial advantage or monetary compensation, such as:

• Selling or licensing content
• Using content in connection with products, services, or advertising
• Monetization on any platform
• Paid performances or broadcasts

Non-commercial use refers to personal use without monetary compensation, including sharing with friends and family or educational purposes.

Intellectual Property

Musely.AI and its licensors own all rights to the service and its original content, excluding content to which you have been assigned rights under paid plans. Our proprietary AI models, algorithms, technology, software, and service content remain the exclusive property of Musely.AI. Unauthorized use of our trademarks is strictly prohibited.

DMCA and Copyright

We respect intellectual property rights. If you believe your copyrighted work has been infringed upon, please contact our Copyright Agent at [email protected] with the following information:

• Issues arising from third-party platform distribution

Indemnification

You agree to indemnify and hold harmless Musely.AI from claims, damages, and expenses arising from:

• Your use of generated content
• Violations of these Terms
• Third-party rights violations
• Misrepresentations regarding content ownership

Termination

We reserve the right to terminate accounts without prior notice for any reason, including violations of these Terms. Upon termination:

• Your access to the Service will be immediately revoked
• Commercial rights for content created during paid subscriptions remain with you
• Free plan content remains subject to free plan restrictions

Governing Law

These Terms will be governed by the laws of Delaware, United States.

Changes to Services

We may modify or withdraw services at any time without notice.

Amendments to Terms

We may update these Terms by posting revised versions on our website.
