These Terms of Service ("Terms") apply to your access of our website at https://musely.ai, operated by Musely.AI. Our Privacy Policy also governs your use of our services and explains how we collect, protect, and disclose information resulting from your use of our web pages. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy ("Agreements"). If you do not agree with these Agreements, please refrain from using our services.

• Paid Plans: Full ownership and commercial rights assigned to you. Use on streaming platforms, monetize, license, or sell your music.
• Perpetual Rights: Commercial rights for paid plan music remain yours even after cancellation.

Purchases

If you wish to purchase any products or services through our platform, you may be required to provide relevant information, including credit card details and billing information. You represent that you have the legal right to use any payment method connected to your purchase. We may employ third-party services to process payments.

We reserve the right to refuse or cancel orders for various reasons, including product availability or pricing errors.

Promotions and Contests

From time to time, we may offer promotions or contests with separate rules. Please review these rules, as they may differ from these Terms.

Subscriptions

Musely.AI offers subscription-based services that are billed on a recurring basis, either monthly or annually. Your subscription will automatically renew unless canceled before the end of the billing cycle. A valid payment method is required for billing. If automatic billing fails, we will issue an invoice for manual payment.

Fee Modifications

We reserve the right to change subscription fees at any time. Any changes will take effect at the end of the current billing cycle and will be communicated at least 15 days in advance. Continued use after a fee change constitutes acceptance of the new fees.

Refund Policy

Refunds for subscription services will be provided within three (3) days of the original purchase, subject to specific usage limits for each product. Refund requests must be made within the specified period and usage should remain within set limits.

Account Responsibilities

To use certain features of Musely.AI, you must create an account. You guarantee that you are over 18 and that all account information is accurate. You are responsible for maintaining the confidentiality of your account and password. Sharing your account with others is prohibited and may result in suspension or termination.

Permitted Use and Restrictions

By using Musely.AI, you agree to comply with all applicable laws and regulations. You are not allowed to engage in illegal activities, abuse the Service, or attempt to reverse-engineer Musely.AI's systems.

Prohibited activities include:

• Uploading content that infringes third-party intellectual property rights
• Generating illegal, harmful, abusive, or defamatory content
• Attempting to reverse-engineer, hack, or compromise our systems
• Using the service to develop competing products or services
• Training other AI models or technologies with our service
• Impersonating others or misrepresenting affiliations
• Cloning, synthesizing, or imitating the voice of any person without their explicit consent (see "Voice Cloning Services" below)

Voice Cloning Services

Musely.AI offers features that allow you to create a synthetic voice model ("Voice Model") from voice recordings you upload ("Voice Samples"), and to generate audio using that Voice Model ("Voice Content"). Because a person's voice is uniquely personal and can be misused, the following additional terms apply to your use of these features. If there is any conflict between this section and other parts of these Terms, this section controls with respect to voice cloning.

Consent and Ownership Requirements

You may only upload Voice Samples and create a Voice Model of:

• Your own voice; or
• Another person's voice for which you have obtained their prior, explicit, informed, and verifiable consent to record their voice, create a synthetic voice model from it, and use that model for the purposes you intend.

By uploading a Voice Sample, you represent and warrant that:

• The voice belongs to you, or you hold written consent from the voice owner that covers your intended use;
• The voice owner is at least 18 years of age, or you are the parent or legal guardian of the minor whose voice is being cloned and consent to such use;
• Your creation and use of the Voice Model complies with all applicable laws, including right-of-publicity, personality-rights, biometric-privacy, and AI-disclosure laws in your jurisdiction and the jurisdiction of the voice owner;
• You will withdraw the Voice Model and cease using related Voice Content promptly if the voice owner revokes their consent.

We may, at any time, require you to provide proof of consent from the voice owner. Failure to provide satisfactory proof upon request may result in removal of the Voice Model and suspension or termination of your account.

Prohibited Voice Uses

You must not use voice cloning features, Voice Models, or Voice Content to:

• Impersonate any person — including celebrities, public figures, politicians, or private individuals — without their explicit consent;
• Deceive, defraud, or scam any person, including through phishing calls, robocalls, fake emergencies, or social-engineering schemes;
• Bypass, test, or compromise voice-based authentication or security systems;
• Create content that misrepresents synthetic audio as an authentic recording of a real person, including fabricated statements, endorsements, or confessions;
• Influence elections or spread political disinformation, including fabricated speeches or statements by candidates or officials;
• Harass, defame, intimidate, blackmail, or bully any person;
• Create sexual, intimate, or explicit content using the voice of any real person without their explicit consent, or any such content involving minors under any circumstances;
• Violate any law, regulation, or third-party right, including rights of publicity and privacy.

Disclosure of Synthetic Audio

When you share or publish Voice Content in a context where a reasonable listener could believe it is an authentic human recording, you are responsible for clearly disclosing that the audio is AI-generated, and for complying with any AI-content labeling requirements of applicable laws and the platforms where you publish.

Rights in Voice Samples and Voice Models

You (or the consenting voice owner) retain all rights in the underlying voice. Notwithstanding the broader license in "Your Submissions," you grant Musely.AI only a limited, worldwide, royalty-free license to host, process, and reproduce your Voice Samples and Voice Models solely as necessary to provide, secure, and maintain the voice cloning features for you, including processing through our third-party AI service providers. We do not use your Voice Samples or Voice Models to train general-purpose AI models, and we do not make your Voice Model available to other users.

You may delete a Voice Model at any time through the Service or by contacting us at [email protected]. Deleting your account or a Voice Model will remove the associated Voice Samples and Voice Model as described in our Privacy Policy.

Enforcement

We use a combination of automated and manual review to detect misuse of voice cloning features. We reserve the right, without prior notice, to refuse processing of any Voice Sample, remove any Voice Model or Voice Content, suspend or terminate accounts, and report suspected unlawful activity to law enforcement. If you believe your voice has been cloned or used through our Service without your consent, contact us at [email protected] with the subject line "Voice Misuse Report" and we will investigate promptly.

Ownership and Commercial Rights for Generated Content

Free Plan

For users on our free plan:

• You receive a limited license for personal, non-commercial use only
• No attribution is required for personal use
• Commercial use, including monetization on any platform, is prohibited

Paid Plans (Pro, Premier, and Other Paid Tiers)

For content generated during an active paid subscription:

• Musely.AI assigns to you all rights, title, and interest in the generated content
• You receive perpetual commercial use rights, including:
  • Distribution on streaming platforms (Spotify, Apple Music, YouTube Music, etc.)
  • Video monetization (YouTube, TikTok, Instagram, etc.)
  • Direct sales and consumer downloads
  • Sync licensing for film, television, video games, and advertising
  • Live and public performances
  • Physical media distribution
  • Licensing and sublicensing to third parties
• These rights continue in perpetuity, even after subscription cancellation
• No ongoing royalties or payments are owed to Musely.AI

Important Limitation: No Retroactive Rights

Upgrading from a free plan to a paid plan does not grant commercial rights to content created during your free plan usage. Commercial rights apply only to content generated while subscribed to a paid plan.

Copyright and Legal Considerations

Copyright Disclaimer:

Musely.AI makes no representation or warranty that copyright protection will apply to AI-generated content. Current U.S. copyright law typically requires human authorship, and fully AI-generated works may not qualify for copyright protection.

• While you own your music (on paid plans), copyright registration may not be available
• Copyright laws vary by jurisdiction and continue to evolve
• We cannot guarantee copyright eligibility in any jurisdiction
• Consult legal counsel for specific advice regarding copyright protection

User-Created Elements: If you contribute original human-created elements such as lyrics, vocal performances, or instrumental recordings, those elements may have stronger copyright protection. Disclosure of AI use may be required when registering copyrights.

Your Submissions

By providing content to Musely.AI, you represent that you own all necessary rights or have obtained required permissions. You grant Musely.AI a worldwide, non-exclusive, royalty-free, perpetual license to use your submissions to:

• Operate and provide the service
• Improve and develop our AI models and technology
• Analyze usage patterns and service quality
• Market and promote our services

Non-Uniqueness of AI-Generated Content

Due to the nature of AI technology, generated content may not be unique. Similar inputs from different users may produce similar or identical outputs. Content generated for other users is not your property.

Commercial Use Defined

Commercial use includes any activity intended for commercial advantage or monetary compensation, such as:

• Selling or licensing content
• Using content in connection with products, services, or advertising
• Monetization on any platform
• Paid performances or broadcasts

Non-commercial use refers to personal use without monetary compensation, including sharing with friends and family or educational purposes.

Third-Party Platform Distribution

When distributing content on third-party platforms, you are responsible for:

• Compliance with platform terms of service
• Meeting any copyright or content eligibility requirements
• Accurate disclosure of AI-generated content when required
• Understanding platform-specific restrictions on AI content

Intellectual Property

Musely.AI and its licensors own all rights to the service and its original content, excluding content to which you have been assigned rights under paid plans. Our proprietary AI models, algorithms, technology, software, and service content remain the exclusive property of Musely.AI. Unauthorized use of our trademarks is strictly prohibited.

DMCA and Copyright

We respect intellectual property rights. If you believe your copyrighted work has been infringed upon, please contact our Copyright Agent at [email protected] with the following information:

• A physical or electronic signature of the copyright owner or authorized representative
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing and information reasonably sufficient to locate the material
• Your contact information (address, telephone number, and email address)
• A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner

Disclaimer of Warranties

Musely.AI is provided "as is" without warranties of any kind. We do not guarantee the accuracy, reliability, or availability of our services.

Specifically regarding generated content, we do not guarantee:

• Uniqueness or originality of generated content
• Copyright eligibility or protection
• Suitability for any particular purpose
• Uninterrupted or error-free service
• Accuracy of results

Limitation of Liability

Musely.AI will not be liable for any indirect, punitive, incidental, or consequential damages arising from your use of the Service, including but not limited to:

• Third-party copyright claims related to your content
• Loss of revenue or profits from generated content
• Inability to obtain copyright protection
• Issues arising from third-party platform distribution
• Misuse of Voice Models or Voice Content by you or any third party, or claims by voice owners arising from content you created

Indemnification

You agree to indemnify and hold harmless Musely.AI from claims, damages, and expenses arising from:

• Your use of generated content
• Violations of these Terms
• Third-party rights violations
• Misrepresentations regarding content ownership
• Your creation or use of any Voice Model or Voice Content, including claims by any person whose voice was cloned, imitated, or used without valid consent, and claims arising under right-of-publicity, privacy, biometric, defamation, or fraud laws

Termination

We reserve the right to terminate accounts without prior notice for any reason, including violations of these Terms. Upon termination:

• Your access to the Service will be immediately revoked
• Commercial rights for content created during paid subscriptions remain with you
• Free plan content remains subject to free plan restrictions

Governing Law

These Terms will be governed by the laws of Delaware, United States.

Changes to Services

We may modify or withdraw services at any time without notice.

Amendments to Terms

We may update these Terms by posting revised versions on our website. Material changes to ownership or commercial rights will be communicated at least 15 days in advance through the Service user interface, email, or other reasonable means. Your continued use of the service after changes constitutes acceptance of the new Terms.

Content created before any changes will retain the rights applicable at the time of creation.

By using our services, you acknowledge that you have read and agree to these Terms.
